These terms govern access to Telosii.
Using Telosii means you agree to these terms for the website, app, beta features, paid plans, integrations, coaching, analytics, and support we make available.
1. About us
Telosii is operated by Commercial Outcomes Ltd., trading as Telosii, a company registered in England and Wales under company number 07121197, with its registered office at 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE. In these Terms, Telosii, we, us and our mean that company.

2. What these Terms cover
These Terms govern your access to and use of the Telosii website, any Telosii web or mobile application, any free or paid plan, beta features, scheduling, task, analytics, coaching and integration features, and any related support we make available, together the Service.
Our Privacy Policy also applies to your use of the Service.
If there is a conflict between these Terms and plan-specific wording shown at checkout or on an order page, the checkout or order-page wording will prevail for that purchase.
Nothing in these Terms limits any description of the Service, plan features, pricing, trial terms or other pre-contract information that is treated by law as binding.
3. Eligibility and permitted use
You must be at least 18 years old to create an account or purchase a paid plan.
Telosii may be used for personal, professional, team or business planning, provided your use complies with these Terms and any plan-specific limits shown in the Service.
If you use Telosii on behalf of a business or organisation, you confirm that you have authority to do so and that you are responsible for the content and connected services used through that account.
You must provide accurate, complete and up-to-date account information and keep it updated.
4. Accounts and security
You are responsible for keeping your login credentials secure and for maintaining the security of the devices and accounts you use to access the Service.
You are responsible for activity carried out through your account except to the extent caused by our breach of these Terms or our failure to use reasonable care and skill.
You must tell us promptly if you believe your account has been compromised or used without permission.
We may require you to change credentials, re-authenticate, or take other reasonable security steps where necessary to protect the Service, your account or other users.
5. The Service
Telosii is a digital planning and productivity service. Features may include schedule templates, time-blocking, task management, calendar views, reminders, reflections, analytics, AI-assisted features, email-to-inbox, voice capture, location search and integrations.
Some features may only be available on certain plans, may depend on third-party services, may require internet access or a compatible device, or may change over time.
We do not guarantee that every feature will always be available, continue unchanged, or be available in every jurisdiction.
6. Beta status
Telosii is currently made available as a beta product. During beta, features may change more frequently and may be incomplete, unstable, interrupted or withdrawn while we improve the Service.
During beta, we may make some or all features available free of charge or on promotional terms. We may later introduce or reintroduce paid plans. If we do, we will give advance notice before any charges are taken and no paid subscription will begin unless you complete the relevant checkout or otherwise expressly agree to start a paid plan.
If we offer a free trial of a paid plan, we will clearly tell you before sign-up how long it lasts, whether it converts automatically, what price will apply, and how to cancel before billing starts.
7. Paid plans, subscriptions and billing
If you choose a paid plan once available, the applicable price, billing interval, currency and taxes will be shown at checkout.
By starting a paid plan, you authorise us and our payment processor to charge the applicable fees and taxes using your chosen payment method.
Unless we clearly state otherwise at checkout, paid subscriptions renew automatically for successive billing periods until cancelled.
If you sign up online, you will be able to cancel online. To avoid the next renewal charge, you must cancel before the next renewal date.
If payment fails, we may retry the payment and may suspend or restrict paid features until payment is made.
8. Consumer cancellation rights and refunds
If you are a consumer, you may have a legal right to cancel a paid contract within 14 days after it is made.
If you ask us to begin supplying the paid Service during that 14-day period, you expressly request immediate performance.
If you cancel within that 14-day period after supply has started, we may charge you a proportionate amount for the Service supplied up to the time you cancel, unless the law says otherwise.
Unless the law requires otherwise, cancellation of a subscription stops future renewals and does not entitle you to a refund for the remainder of the current billing period once that period has started.
Nothing in these Terms limits any statutory cancellation, refund or consumer rights you may have.
9. Changes to the Service, plans and pricing
We may change the Service, plans, prices or these Terms where we have a valid reason, including to reflect changes in law, regulation or regulatory guidance; to address security, safety or technical issues; to prevent fraud, abuse or harm; to improve, develop, rebalance or retire features; to reflect significant third-party cost or infrastructure changes; or to respond to operational needs of the business.
We will not use this clause in bad faith or in a way that unfairly deprives you of the main benefit of the contract.
If we make a material adverse change to a paid plan, or a material price increase, we will give reasonable prior notice. If you do not accept the change, you may cancel before the change takes effect. The change will then apply only after your current paid billing period ends, unless the law requires a different approach.
10. Third-party services and integrations
The Service may interoperate with third-party services, including payment processors, hosting providers, analytics providers, email or messaging services, AI or transcription providers, mapping services, and external calendar or identity providers such as Google and Microsoft.
Your use of those third-party services may also be subject to their own terms and privacy policies.
If you connect a third-party account, you authorise us to access and use the data and permissions you grant through that integration to operate the Service. This includes two-way calendar sync where enabled: reading calendar data and creating, updating or deleting calendar events where a feature clearly says so and you take the relevant action in Telosii.
Location and address features may use services such as Google Maps, Places or Geocoding. When you use those features, the query, address, place name or coordinates you provide may be sent to the relevant provider to return location suggestions or map previews.
You are responsible for keeping connected third-party accounts active and properly authorised, reviewing the permissions you grant, and checking important events, appointments and deadlines independently.
We are not responsible for third-party outages, API changes, revoked permissions, expired tokens, account restrictions, sync delays or inaccurate third-party data.
11. Your content
You retain ownership of the content and data you submit to the Service, including tasks, notes, schedules, reflections, prompts, calendar data, forwarded emails, voice recordings, transcriptions, location details and similar material (User Content).
You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, store, process, transmit, display and otherwise use User Content only so far as reasonably necessary to provide, operate, maintain, secure and support the Service, to prevent abuse, and to carry out the purposes described in our Privacy Policy.
You promise that you have the rights needed to upload or connect the content you use with Telosii, that your User Content does not infringe anyone else's rights, and that it is not unlawful, defamatory, abusive, malicious or misleading.
12. Acceptable use
- use the Service unlawfully, fraudulently or deceptively;
- interfere with, damage, disable or disrupt the Service or our systems;
- try to bypass security, rate limits, access controls or account restrictions;
- reverse engineer, scrape, probe or extract data from the Service except where clearly allowed by law;
- upload malware, harmful code or malicious content;
- use the Service to harass, threaten, stalk or abuse others; or
- impersonate another person or misrepresent your identity or authority.
We may investigate suspected misuse and take appropriate action, including suspension, termination and reporting to relevant authorities.
13. AI, analytics and non-reliance
Some features may use AI, automation, behavioural analytics, pattern recognition, recommendations or similar logic to generate prompts, insights, summaries, nudges or suggested actions.
Those outputs may be inaccurate, incomplete, misleading, biased or unsuitable for your circumstances. They may rely on the information you provide and on third-party or inferred data.
Telosii is a planning and productivity tool. It is not designed or intended to diagnose, monitor, treat or prevent any medical, psychiatric or mental health condition, and it is not therapy, counselling, crisis support or emergency support.
You must not rely on the Service for diagnosis, treatment, emergency help, crisis intervention or any situation where an error could reasonably cause harm.
You remain responsible for your decisions, actions, obligations, deadlines and wellbeing. We do not promise that the Service will improve productivity, reduce anxiety, or achieve any particular personal or business outcome.
14. Availability, support, local storage and backups
We will use reasonable care and skill in providing the Service, but we do not guarantee uninterrupted, secure or error-free access, especially during beta.
We may carry out maintenance, upgrades, repairs, emergency fixes and security work from time to time.
Some features may store data locally on your device or browser. If you clear browser storage, lose access to a device, change device, uninstall an app, or use the Service without cloud sync, data may be lost.
Where cloud sync is available, we will use reasonable care in operating it, but sync may be delayed, incomplete or unavailable from time to time.
You are responsible for keeping independent records of anything important to you.
If a paid plan includes support, that means access to the support channel described for that plan. Unless we expressly agree otherwise in writing, we do not guarantee a specific response or resolution time.
15. Intellectual property
The Service, including the software, design, structure, branding, trade marks, interfaces, text, graphics, workflows, models and related materials, is owned by or licensed to us and is protected by intellectual property laws.
Except for the limited right to use the Service under these Terms, we give you no ownership rights in the Service.
You may not copy, distribute, modify, create derivative works from, sell, license or exploit any part of the Service except as permitted by law or with our prior written consent.
16. Suspension, termination and discontinuation
You may stop using the Service at any time. You may also close your account or cancel a paid subscription using the Service settings or by contacting us.
We may suspend or terminate your access, in whole or in part, if you materially or repeatedly breach these Terms, payment remains overdue, we reasonably believe your account presents a security, fraud or abuse risk, we are required to do so by law, or continuing to provide the Service would expose us, users or third parties to material harm or risk.
Where reasonably possible, we will give notice before suspension or termination, unless immediate action is needed for security, abuse, legal or operational reasons.
If we discontinue the paid Service generally, we will give reasonable notice and, where appropriate, refund the unused prepaid portion of any affected subscription.
17. What happens when the contract ends
When your use of the Service ends, your right to use the Service ends, future renewals stop, and any fees already due remain payable.
We may delete, anonymise or retain your data in line with our Privacy Policy and legal obligations.
Provisions that are intended to continue after termination will continue, including provisions on fees already due, intellectual property, liability, disputes and general legal terms.
18. Privacy and data protection
We process personal data in accordance with our Privacy Policy.
You acknowledge that the Service may involve the processing of personal data you provide directly, data received from connected services, and usage data generated through your use of the Service.

19. Consumer rights
Nothing in these Terms excludes or limits rights you have under applicable consumer law.
If you are a consumer, we are under a legal duty to supply digital services with reasonable care and skill and, where applicable, digital content that matches its description.

20. Our liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so. This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any statutory rights or remedies that cannot lawfully be excluded or limited.
If you are a consumer, we are responsible for foreseeable loss or damage caused by our breach of these Terms or our failure to use reasonable care and skill.
We are not responsible for losses that were not foreseeable, losses caused by events outside our reasonable control, losses caused by third-party services you choose to connect except where the loss is caused by our own breach, or losses you could have avoided by taking reasonable steps, including keeping your own independent record of critical commitments or backing up important information.
If you use the Service for business purposes, we are not responsible for loss of profit, revenue, contracts, goodwill, business interruption, lost savings or business opportunity, except where the law does not allow that exclusion.
21. Complaints
If you have a complaint about the Service, please contact us at hello@telosii.com. We will try to resolve complaints promptly and fairly.
Nothing in this section affects your statutory rights.
22. Changes to these Terms
We may update these Terms for the reasons set out in section 9.
If we make a material change, we will give reasonable notice. Where the change materially disadvantages you, you may cancel before the updated Terms take effect.
By continuing to use the Service after the updated Terms take effect, you agree to them.
23. General legal terms
We may transfer or assign our rights and obligations under these Terms to another group company, successor or purchaser of the business, provided this does not materially reduce your rights.
You may not transfer your rights or obligations under these Terms without our prior written consent.
If any provision of these Terms is held to be invalid, illegal or unenforceable, the rest will remain in full force.
If we delay or fail to enforce any right, that does not mean we waive it.
No person other than you and us has any right to enforce these Terms.
24. Governing law and jurisdiction
If you are a consumer resident in England or Wales, these Terms are governed by the law of England and Wales, and you can bring legal proceedings in the courts of England and Wales.
If you are a consumer resident in Scotland, you may bring proceedings in Scotland or in the courts of England and Wales.
If you are a consumer resident in Northern Ireland, you may bring proceedings in Northern Ireland or in the courts of England and Wales.

Complete and return this form only if you want to cancel a paid contract during any legal cancellation period that applies.
